Key Responsibilities:
• Acting as legal counsel to Corporate Development Mergers & Acquisitions and supporting business growth by advising on potential domestic and international mergers and acquisitions and other strategic transactions and initiatives.
• Preparing detailed legal analysis in connection with potential strategic opportunities.
• Providing legal services necessary to support global enterprise growth initiatives.
• Assisting in managing MetLife's approach to all phases of Mergers & Acquisitions (M&A) transactions globally, from initial consideration of opportunities, engagement letters, confidentiality agreements, due diligence, bid letters, and purchase and sale agreements through to closing, including by leading and coordinating the M&A-related work of domestic and international lawyers from other units and sections.
• Working closely and proactively in partnership with internal business partners and outside counsel to identify issues and develop practical solutions.
• Keeping business partners and colleagues apprised of relevant M&A issues and developments.
• Assisting in negotiating outside counsel fees, effectively assisting in managing their performance and thoroughly reviewing invoices and reporting information on outside counsel spend to other M&A attorneys and Unit Manager.
Essential Business Experience, Technical/Knowledge Skills:
Required:
• Law degree (J.D. or equivalent) and bar admission required with a minimum of five years of M&A and other corporate legal experience, preferably with a strong record of in-house or law firm success.
• Highly collaborative, proactive business partner.
• Strong leadership, interpersonal, communication and negotiation skills; performs well under pressure.
• Ability to combine proficiency in M&A and corporate law and craft with understanding of strategic and business objectives and to deliver clear, concise and crisp legal advice in terms useful to non-lawyers
• Some knowledge of international privacy and personal information protections laws/regulations desirable.
Preferred:
• Law degree (J.D. or equivalent) and bar admission required with a minimum of five years of M&A and other corporate legal experience, preferably with a strong record of in-house or law firm success.
• Some experience drafting and negotiating reinsurance treaties and related documentation desirable.
The wage range for New York for applicants for this position is $153700 to $204900. This role is also eligible for annual short-term incentive compensation. MetLife offers a comprehensive benefits program, including healthcare benefits, life insurance, retirement benefits, parental leave, legal plan services and paid time off. All incentives and benefits are subject to the applicable plan terms.
